These Terms of Service ("Terms") govern your use of the website sigafoosbookkeepingllc.com, the bookkeeping services provided by Sigafoos Bookkeeping LLC ("we," "us," or "our"), and any applications, automation tools, or integrations we use to deliver those services. By using our website or engaging our services, you agree to these Terms.

1. Services

Sigafoos Bookkeeping LLC provides outsourced bookkeeping and accounting record-keeping services to small and medium-sized businesses in the United States. Services may include:

  • Transaction categorization and reconciliation

  • Journal entry preparation

  • Monthly financial statement preparation

  • QuickBooks Online file maintenance

  • Clean-up and catch-up bookkeeping

  • Coordination with your tax preparer or CPA

We do not provide tax preparation, legal advice, investment advice, audit services, or attestation services. We are not a CPA firm.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for us to perform services

  • Maintain ownership of and ultimate responsibility for your financial records

  • Review financial reports and statements provided to you and notify us promptly of any errors or concerns

  • Maintain the security of credentials and access tokens granted to us

  • Comply with applicable laws and tax obligations independently of our services

3. Use of Automation and AI

We use automation platforms and artificial intelligence tools to improve efficiency and accuracy. All AI-assisted work is reviewed and approved by a human bookkeeper before any change is made to your accounting records. You agree that our use of these tools, as described in our Privacy Policy, is part of how we deliver services.

4. Fees and Payment

Fees are quoted on a per-engagement or monthly basis and communicated in advance. Engagements are month-to-month with no long-term commitment unless otherwise agreed in writing. Invoices are due upon receipt. Late or unpaid invoices may result in suspension of services.

5. Confidentiality

We treat your business and financial information as confidential. We will not disclose your information to third parties except as needed to deliver services, with your authorization, or as required by law. See our Privacy Policy for details.

6. Intellectual Property

All content on our website (including text, graphics, logos, and software) is owned by Sigafoos Bookkeeping LLC or its licensors and protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

You retain ownership of your own financial data and any records we maintain on your behalf.

7. Third-Party Platforms

We use third-party platforms including but not limited to QuickBooks Online, Google Workspace, and n8n. These platforms operate under their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or security practices of third-party platforms beyond our reasonable control.

8. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet every specific requirement. We perform services with reasonable care and professional skill but cannot guarantee specific financial outcomes.

9. Limitation of Liability

To the maximum extent permitted by law, Sigafoos Bookkeeping LLC's total liability for any claim arising out of or relating to our services or these Terms will not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

10. Termination

Either party may terminate the engagement at any time with reasonable written notice. Upon termination:

  • We will provide reasonable assistance to transition your records

  • You remain responsible for any fees incurred prior to termination

  • We will retain copies of records as required by law (typically 7 years)

11. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Spokane County, Washington.

12. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" indicates when they were last revised. Continued use of our services after changes constitutes acceptance of the updated Terms.
